Terms of Service

1. Agreement & Eligibility (B2B)

These Terms form a binding agreement between you and Rahawan AI. If you use the Services on behalf of an organization, you represent that you have authority to bind that organization, and "you" includes that organization.

• You must be at least eighteen (18) years old and legally able to enter a contract.
• The Services are offered for business-to-business (B2B) use. Consumer use, where permitted, remains subject to these Terms.
• You may not use the Services if you are barred under applicable sanctions, export-control, or anti-money-laundering rules, or if we have previously suspended your account.
• You may not use, export, or re-export the Services except as authorized by United States law and the laws of the jurisdiction in which the Services are obtained.

2. Description of Services

Rahawan AI is a universal cloud-based Software-as-a-Service (SaaS) and autonomous SEO engine serving all modern websites, startups, e-commerce, content portals, and businesses of all sizes, equipped with general growth engines as well as optional pre-tuned vertical suites. The platform provides Autonomous SEO Operations, generative engine optimization (GEO), site health auditing, Deterministic Schema Architecture, content orchestration, keyword engines / word banks, reporting, agency white-label tooling, and related digital operations features. Features available to you depend on your plan, organization settings, and configuration.

Rahawan AI provides software and automation tools as a service (SaaS). We make no warranties regarding specific search rankings or traffic volumes, as indexing and generative AI responses are governed by independent third-party search engines.

The Services may integrate with third parties (payment processors, analytics, search consoles, messaging, hosting, or AI model providers). Your use of those services may be subject to their own terms. Beta or experimental features, when offered, are provided "as is" and may change or be withdrawn at any time.

3. Account Security

• You must provide accurate, complete, and current registration and billing information and keep it updated.
• You are solely responsible for safeguarding account credentials, API keys, vault secrets, and access tokens associated with your organization.
• You must promptly notify us at support@rahawan.ai of any unauthorized access or suspected security compromise.
• You are responsible for all activity under your accounts and authorized workspaces, including actions by team members, contractors, and agency clients you invite.
• We may require multi-factor authentication, email verification, or other security controls as a condition of continued access.
• You represent that you own or have lawful authorization to connect any domain, CMS, analytics property, Search Console property, or third-party account you link to the Services.

4. Subscriptions & Payments

• Subscription Plans: Certain features are billed on a recurring subscription basis (monthly or annually) as selected at checkout or on an invoice.
• Payment Processing: Payments are processed by authorized third-party payment processors (including Stripe). By subscribing, you authorize recurring charges to your payment method until you cancel in accordance with these Terms and our Refund & Cancellation Policy.
• Taxes: Fees are exclusive of applicable taxes unless stated otherwise. You are responsible for taxes that we are required to collect or that you owe in your jurisdiction.
• Failed Payments: If a charge fails, we may retry the payment method, suspend access, or downgrade features until payment succeeds.
• Plan Modifications: We may change fees or plan features with at least thirty (30) days' advance notice for recurring plans. Continued use after the effective date constitutes acceptance of the change.
• Manual / Invoice Billing: Where we issue manual invoices (including during early commercial phases), payment is due as stated on the invoice. Late amounts may accrue reasonable late fees or suspension rights.
• Currency: Unless otherwise stated, fees are denominated in United States dollars (USD).
• Cancellation & Refunds: Cancellation, refunds, and chargeback rules are further described in our Refund & Cancellation Policy, which is incorporated by reference.

5. Intellectual Property & Word Banks

You retain ownership of websites, URLs, brand assets, copy, and other materials you submit ("Customer Content"). You grant Rahawan AI a limited, non-exclusive license to host, process, transmit, and display Customer Content solely to provide and improve the Services for you.

• Platform IP: Software, interfaces, designs, trademarks, documentation, models, prompts, workflows, algorithms, and sector engines remain the exclusive property of Rahawan AI and its licensors.
• Word Banks & Keyword Engines: Sector word banks, keyword lists, intent matrices, schema templates, and related datasets generated or curated by the platform remain Company IP, except for Customer Content you independently own. Authorized outputs for your domains may be used in your marketing under these Terms.
• Reports & Markup: Subject to these Terms, you own specific reports and structured markup generated for your authorized domains, excluding our underlying platform, models, templates, and tooling.
• Agency / White-Label: If you use white-label reporting or the Agency Program, you remain responsible for client compliance and for materials published under your brand. Commercial agency terms may be set in a separate order form.
• Feedback: Suggestions you provide may be used by us under a perpetual, worldwide, royalty-free license without obligation to you.
• Marks: "Rahawan AI," "رهوان للذكاء الاصطناعي," and related logos are trademarks of the Company.
• IP Complaints: Send notices of alleged infringement to legal@rahawan.ai with sufficient detail for us to investigate and, where appropriate, remove or disable access.

6. Acceptable Use & Industry Compliance

You agree not to use the Services to:

• Violate any applicable local, national, or international law or regulation.
• Perform unauthorized scraping, denial-of-service testing, vulnerability scanning, or intrusive testing against third-party systems.
• Generate or distribute malware, phishing, deceptive spam, or content that infringes intellectual property or privacy rights.
• Reverse-engineer, decompile, or attempt to extract source code, prompts, workflows, word banks, or algorithmic agents except to the limited extent such restriction is prohibited by law.
• Resell, sublicense, or provide the Services to third parties except under an authorized agency/white-label program.
• Circumvent usage limits, security controls, billing meters, or access restrictions.
• Misrepresent affiliation with Rahawan AI or use our marks without written permission.
• Process special-category personal data or regulated data through the Services unless we expressly agree in writing.

Users across all sectors and general websites are solely responsible for ensuring that their content, digital operations, and target keywords comply with their respective local jurisdictions, commercial licenses, and industry regulations. Rahawan AI acts strictly as a neutral technology provider.

We may investigate suspected violations and suspend or terminate access where reasonably necessary to protect the platform, customers, or third parties. Our Privacy Policy describes how we handle personal data.

7. Disclaimers

THE SERVICES ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WHILE WE STRIVE TO MAXIMIZE ENGINE COMPLIANCE AND ACCURACY, WE DO NOT GUARANTEE SPECIFIC SEARCH RANKINGS, TRAFFIC INCREASES, CONVERSIONS, AI-ENGINE CITATIONS, OR THIRD-PARTY SEARCH OR GENERATIVE ALGORITHM BEHAVIORS (INCLUDING BUT NOT LIMITED TO GOOGLE, OPENAI / CHATGPT, GEMINI, PERPLEXITY, OR SIMILAR SYSTEMS). WE DO NOT WARRANT UNINTERRUPTED OR ERROR-FREE OPERATION.

8. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, RAHAWAN AI AND ITS AFFILIATES, OFFICERS, EMPLOYEES, AND SUPPLIERS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR BUSINESS OPPORTUNITY, ARISING OUT OF OR RELATED TO THE SERVICES OR THESE TERMS, WHETHER IN CONTRACT, TORT, OR OTHERWISE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. OUR TOTAL AGGREGATE LIABILITY SHALL NOT EXCEED THE TOTAL FEES PAID BY YOU TO US FOR THE SERVICES IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM. SOME JURISDICTIONS DO NOT ALLOW CERTAIN LIMITATIONS; IN THOSE CASES, OUR LIABILITY IS LIMITED TO THE MAXIMUM EXTENT PERMITTED.

9. Indemnification

You will defend, indemnify, and hold harmless Rahawan AI and its affiliates from and against claims, damages, losses, and expenses (including reasonable attorneys' fees) arising from: (a) your Customer Content or connected properties; (b) your breach of these Terms; (c) your misuse of the Services; or (d) your violation of law or third-party rights.

10. Governing Law (Delaware, USA)

These Terms are governed by the laws of the State of Delaware, United States, without regard to conflict-of-law principles. Except where prohibited by law, any dispute arising under these Terms will be resolved by binding individual arbitration followed, where necessary, by enforcement in state or federal courts located in Delaware. YOU AND RAHAWAN AI WAIVE ANY RIGHT TO A JURY TRIAL AND TO PARTICIPATE IN A CLASS, CONSOLIDATED, OR REPRESENTATIVE ACTION. Either party may seek injunctive or equitable relief in court to protect intellectual property or confidential information.

Formation / legal jurisdiction: State of Delaware, United States — Delaware LLC under formation via Stripe Atlas. Formal legal name, registered agent address, and tax identifiers will be published on this page and the Contact page upon formation. Until then, notices to legal@rahawan.ai, support@rahawan.ai, privacy@rahawan.ai, billing@rahawan.ai, and info@rahawan.ai are valid operational contacts.

Operational presence: Dubai, United Arab Emirates — MENA Operations & Client Support. Commercial payments and US banking relationships are structured through the Delaware LLC formation pathway via Stripe Atlas.

• Entire Agreement: These Terms, the Privacy Policy, the Refund & Cancellation Policy, and any order form or agency proposal constitute the entire agreement regarding the Services.
• Language: Arabic translations may be provided for convenience. If there is a conflict between the English and Arabic versions, the English version controls for legal interpretation, except where mandatory local law requires otherwise.
• Changes: Material changes to these Terms will be posted with an updated "Last Updated" date. Continued use after the effective date constitutes acceptance.
• Survival: IP, disclaimers, liability limits, indemnity, and dispute-resolution provisions survive termination.
